Scope of these Terms
These Terms govern proposals, statements of work (“SOWs”), retainers and any work we undertake once you accept a quote, sign a contract or instruct us in writing. If a signed master services agreement or SOW conflicts with these Terms, the signed document prevails.
Proposals and changes
Proposals describe deliverables, assumptions, timelines and fees. Proposals are valid for 30 days. Changes requested after signoff will be handled through a written change request with revised scope, timing and fees.
Your responsibilities
You agree to provide clear briefs, brand assets, lawful content, and timely feedback within 5 working days unless otherwise agreed.
Fees and deposits
Fees are quoted in GBP (£) excluding VAT. A nonrefundable deposit may be required before work begins. Invoices are payable within 7–14 days. Late payments may incur interest and work may be paused until settled. Thirdparty costs (domains, hosting, plugins, ad spend) are charged at cost and are nonrefundable.
Cancellations and pauses
If you cancel or pause after work starts, you must pay for work completed, booked time, and nonrecoverable costs. Deposits are nonrefundable. If inactive for 30 days, we may archive the project and invoice for completed work.
Delivery and acceptance
We follow an approval process. If you do not provide acceptance or raise issues within 5 working days of delivery, the work will be deemed accepted.
Hosting and maintenance
Where we provide hosting or maintenance, service levels will be described in your SOW or support plan. We cannot guarantee uninterrupted availability.
Intellectual property
Upon full payment, you own the final deliverables. Preexisting materials remain our property, but you receive a perpetual licence to use them. Stock assets and thirdparty code are licensed subject to their terms.
Portfolio rights
Unless you object in writing, we may display your name, logo, and project details in our portfolio and marketing.
Confidentiality
Each party must keep confidential information secure and only use it for the project.
Data protection
When processing personal data on your behalf, we act as a processor and will enter into a data processing addendum if required. You are responsible for lawful instructions to us. See our Privacy Policy for details of how we process data as a controller.
Liability
Our total liability shall not exceed the fees paid for the project in the 12 months prior to the claim. We are not liable for indirect or consequential losses. Nothing limits liability for fraud, negligence causing death or injury, or matters not limited by law.
Governing law
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
